These Terms of Use ("Terms") govern your access to and use of the NovaClaim document-processing service and website at https://novaclaim-ai.vercel.app (the "Service"), provided by NovaClaim ("NovaClaim," "we," "us," or "our"), operated by Okim Glory. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

NovaClaim provides automated extraction of structured data from insurance documents (such as ACORD forms) using artificial intelligence.

The Service is a software tool. It does not provide insurance, legal, financial, underwriting, or professional advice, and it does not make coverage, binding, claims, or compliance decisions.

2. Website Use

Our website is provided for information about the Service and to let you request a demonstration or free audit.

You agree to use the website only for lawful purposes and not to:

  • Attempt to gain unauthorized access to any part of the website or its infrastructure;
  • Scrape, copy, or harvest website content or data except as expressly permitted;
  • Disrupt or interfere with the operation of the website;
  • Upload malware, viruses, or other malicious code.

All content on the website, including text, branding, graphics, logos, layouts, and design, belongs to NovaClaim.

The website is provided on an "AS IS" basis.

3. Eligibility and Accounts

The Service is intended for business and professional use.

You represent that you are at least eighteen (18) years old and are authorized to enter into these Terms on behalf of yourself or the entity you represent.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

4. Free Audits, Demonstrations, and Sample Documents

We may offer a free audit or demonstration in which you submit a document and we return a sample extraction result.

The following rules apply to any document submitted for a free audit or demonstration ("Sample Documents"):

  • Sample Documents must be redacted. Remove or obscure all real personal and nonpublic personal information, or use fictitious test data. Do not submit real, unredacted personal information for a free audit or demonstration.
  • You represent that each Sample Document is properly redacted or that you otherwise have full authority to submit it.
  • We use Sample Documents solely to produce the sample extraction, evaluate the Service, and demonstrate its capabilities.
  • We delete Sample Documents and their output promptly after the audit or demonstration unless you become a customer and request that we retain them.
  • We are not responsible for personal information you choose to include in Sample Documents contrary to these requirements.

5. Your Responsibilities and the Data You Submit

As a customer using the Service beyond a free audit, you represent and warrant that:

  • You have the legal right and all necessary consents, authorizations, and permissions to submit each document and the personal information it contains.
  • Your use of the Service complies with all applicable laws, including data protection and insurance-related laws, such as the Gramm-Leach-Bliley Act (where applicable).
  • You will not submit content that is unlawful or that you are not authorized to share.

You retain ownership of all documents and information you submit to the Service.

You grant NovaClaim a limited, non-exclusive license to process, store, transmit, and analyze your documents solely as necessary to provide, maintain, secure, and improve the Service.

As between you and NovaClaim, you own the structured data and extracted output generated from your documents ("Output") and may use it for any lawful purpose.

NovaClaim retains all ownership rights in the Service, including its software, artificial intelligence systems, workflows, prompts, algorithms, and underlying technology. We may use aggregated or de-identified information as described in our Privacy Policy.

6. AI Output — Accuracy and Human Review

NovaClaim is designed to reduce the manual work involved in processing insurance documents by using artificial intelligence to extract structured information.

Actual results depend on factors including document quality, formatting, handwriting, scan quality, and document type.

Because the Service uses artificial intelligence, Output may occasionally contain errors, omissions, or misclassifications.

Accordingly:

  • Output is provided solely to assist you and does not replace your professional judgment.
  • You are solely responsible for reviewing and verifying all extracted information before relying upon or acting on it.
  • Confidence scores are intended only to help prioritize human review and are not guarantees of accuracy.
  • We do not warrant that Output will be complete, error-free, or suitable for your particular use case.
  • NovaClaim does not make insurance, underwriting, coverage, claims, legal, or regulatory decisions on your behalf.
  • You remain solely responsible for every decision made or action taken using Output generated by the Service.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful or fraudulent purpose.
  • Reverse engineer, copy, reproduce, modify, or resell the Service except where expressly permitted by law.
  • Interfere with or disrupt the Service, its infrastructure, or its security.
  • Upload malware, ransomware, viruses, or malicious code.
  • Use the Service in any manner that infringes the intellectual property or legal rights of another person or organization.

8. Confidentiality

"Customer Content" means the documents, information, and data you submit to the Service, together with the Output returned to you.

NovaClaim will maintain the confidentiality of Customer Content and protect it using commercially reasonable administrative, technical, and organizational safeguards.

We will not access, use, or disclose Customer Content except:

  • To provide, maintain, secure, or support the Service.
  • As authorized or instructed by you.
  • As required by applicable law or legal process.

You likewise agree not to disclose confidential, non-public aspects of the Service, including proprietary workflows, prompts, software design, or technical implementation.

These confidentiality obligations do not apply to information that becomes publicly available through no fault of the receiving party.

9. Intellectual Property

The Service, including its software, artificial intelligence models, workflows, prompts, database structure, user interface, branding, documentation, and all related intellectual property rights, is owned by NovaClaim and protected by applicable intellectual property laws.

Except for the limited right to access and use the Service under these Terms, no ownership rights or licenses are granted to you.

You may not use the Service or any portion of it to develop, train, benchmark, or support a competing product or service.

10. Feedback

If you provide suggestions, comments, ideas, or other feedback regarding the Service, you grant NovaClaim a perpetual, irrevocable, worldwide, royalty-free, fully paid license to use, modify, reproduce, and incorporate such feedback into the Service without restriction or compensation.

11. Third-Party Services

The Service relies upon third-party providers, including cloud hosting providers, artificial intelligence providers, storage services, analytics providers, and document processing services.

Your use of certain features may also be subject to the terms and conditions of those third-party providers.

NovaClaim is not responsible for the availability, performance, security, or actions of any third-party service provider.

12. Fees

Where the Service is offered on a paid subscription or other paid basis, pricing, billing, and payment terms will be presented to you before purchase and will form part of your agreement with NovaClaim.

Unless otherwise stated, all fees are non-refundable except where required by applicable law.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

NOVACLAIM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY OUTPUT GENERATED BY THE SERVICE WILL BE COMPLETE, ACCURATE, OR SUITABLE FOR YOUR PARTICULAR PURPOSE.

The Service may be offered on an early-access, beta, preview, or evolving basis and may be modified, suspended, or discontinued at any time without notice.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVACLAIM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOVACLAIM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO NOVACLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100).

Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless NovaClaim, its owner, affiliates, contractors, employees, and representatives from and against any claims, liabilities, damages, losses, judgments, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service;
  • Your documents or Customer Content;
  • Your violation of these Terms;
  • Your violation of applicable law; or
  • Your infringement of another person's rights.

16. Termination

NovaClaim may suspend or terminate your access to the Service at any time, with or without notice, including where you violate these Terms or where necessary to protect the Service, other customers, or applicable law.

Upon termination, your right to use the Service immediately ends. Sections that by their nature should survive termination, including Sections 6, 8, 9, 10, 13, 14, and 15, shall remain in effect.

17. General

Assignment. You may not assign or transfer these Terms without our prior written consent. NovaClaim may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and NovaClaim regarding the Service and supersede all prior understandings or communications relating to the Service.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Force Majeure. NovaClaim is not responsible for delays or failures caused by events beyond our reasonable control, including internet outages, cloud-provider failures, AI-provider interruptions, natural disasters, governmental actions, labor disputes, or power failures.

Export Compliance. You agree to comply with all applicable United States export control and sanctions laws and represent that you are not prohibited from using the Service under such laws.

18. Changes to These Terms

We may revise these Terms from time to time. Updated versions will be posted on this page, and the "Last updated" date will be revised accordingly.

Your continued use of the Service after revised Terms become effective constitutes your acceptance of those revised Terms.
